Terms of Service

These Terms of Service govern your access to valoirshop.com and any purchase made through the website. The website is operated by Valoir AU Ltd., trading as Valoir. Valoir and Klokk are the product brands presented through the website. In these Terms, Valoir, we, us, and our refer to Valoir AU Ltd.

By using the website or placing an order, you agree to these Terms and our Privacy Policy and Refund Policy. If you do not agree, do not use the website or place an order.

Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement to place an order. If you use the website for a business or another person, you confirm that you have authority to bind that business or person.

Accounts

You may be able to create a customer account. You are responsible for providing accurate information, keeping login details confidential, and notifying us promptly if you suspect unauthorised access. We may suspend or close an account where reasonably necessary to protect customers, the website, or our legal interests.

Products and descriptions

We aim to present products, colours, materials, dimensions, features, and images accurately. Screen settings, lighting, manufacturing variation, and natural material variation may affect appearance. Measurements may have minor reasonable tolerances. Nothing in this section limits rights where a product is materially different from its description or sample.

Product availability may change without notice. We may limit quantities where reasonably necessary, including to manage stock, suspected fraud, or misuse of promotions.

Prices, currency, and taxes

Prices are shown in the currency selected or displayed on the website. Unless stated otherwise, Australian prices include applicable Goods and Services Tax. Delivery charges, duties, taxes, and other amounts that apply to an order will be shown at checkout where available or may be collected by the relevant authority or delivery provider for international orders.

We may change prices at any time, but a change will not affect an order we have already accepted. If a clear pricing or listing error affects an order, we may contact you to confirm the correct information and offer the choice to proceed or cancel for a full refund.

Orders and acceptance

Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily mean the order has been accepted. A contract is formed when we accept the order by confirming dispatch or otherwise confirming acceptance.

We may decline or cancel an order before acceptance where a product is unavailable, payment is not authorised, the order information is incomplete, a pricing or listing error has occurred, delivery is unavailable, or we reasonably suspect fraud, resale misuse, or unlawful activity. If payment has been taken for a cancelled order, we will refund it.

Payment

You must provide current, complete, and accurate payment information and confirm that you are authorised to use the selected payment method. Payments are processed through providers available at checkout. Their terms may also apply to the payment service they provide.

Delivery

Delivery options, charges, and estimates are shown at checkout or on the relevant shipping page. Delivery dates are estimates unless we expressly agree otherwise. Delays may occur because of carriers, customs, weather, peak demand, address issues, or events outside reasonable control. We will not use this clause to avoid responsibilities that apply under law.

You are responsible for providing a complete and accurate delivery address and for any safe delivery instructions. Contact us promptly if an order is missing, delayed, or delivered damaged so we can investigate with the carrier and provide any remedy required by law.

Returns, refunds, and cancellations

Our Refund Policy forms part of these Terms and explains voluntary change of mind returns, exchanges, faulty products, refunds, and order cancellations. Nothing in that policy or these Terms limits rights that cannot be excluded under Australian Consumer Law.

Consumer guarantees and warranties

Our goods come with guarantees that cannot be excluded under Australian Consumer Law. You may be entitled to a replacement or refund for a major failure and compensation for other reasonably foreseeable loss or damage. You may also be entitled to have goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.

Any express product warranty is provided in addition to these rights. A stated warranty period does not necessarily determine how long consumer guarantee rights apply.

Promotions and discount codes

Promotions and discount codes are subject to any terms stated with the offer. Unless stated otherwise, codes cannot be exchanged for cash, applied after an order is placed, or combined with other offers. We may withdraw or correct a promotion where reasonably necessary because of error, misuse, fraud, or legal requirements, while honouring accepted orders where required by law.

Intellectual property

The website and its content, including brand names, logos, product names, photographs, video, graphics, text, layout, and design, are owned by or licensed to us and are protected by intellectual property law. You may use the website for personal shopping and information. You must not reproduce, distribute, adapt, publish, commercially exploit, scrape, or create derivative material from the website without written permission, except where law permits.

Reviews, feedback, and other content

If you submit a review, image, comment, suggestion, or other content, you confirm that you have the right to provide it and that it is accurate, lawful, and does not infringe the rights of another person. You grant us a nonexclusive, worldwide, royalty free licence to use, reproduce, edit for length or format, publish, and display that content in connection with our business and marketing, subject to our Privacy Policy and applicable law.

We may moderate or remove content that is unlawful, abusive, misleading, unrelated, infringing, or contains personal information that should not be public. We are not required to publish every submission.

Acceptable use

You must not misuse the website, interfere with its operation or security, attempt unauthorised access, introduce malicious code, harvest data, impersonate another person, use false payment or identity information, violate another person’s rights, or use the website for unlawful, fraudulent, or abusive activity.

Third party services and links

The website may use or link to services operated by third parties, including Shopify, payment providers, social platforms, and delivery tracking services. We do not control independent third party websites or services. Their terms and privacy practices may apply to your use of them. Nothing in this section limits our responsibility for services we are legally responsible to provide.

Privacy

Our Privacy Policy explains how we handle personal information. By using the website, you acknowledge that personal information will be handled as described in that policy and as permitted or required by law.

Website availability and corrections

We aim to keep the website available and accurate, but access may occasionally be interrupted for maintenance, security, updates, or technical reasons. We may correct errors, update information, or change website features at any time. If a correction materially affects an order, we will contact you and provide any choice or remedy required by law.

Disclaimers and liability

Nothing in these Terms excludes, restricts, or modifies a right, guarantee, remedy, or liability that cannot lawfully be excluded, including rights under Australian Consumer Law.

Subject to those rights and to the maximum extent permitted by law, we are not liable for indirect or consequential loss that was not reasonably foreseeable when the contract was formed. We are not responsible for loss caused by your misuse of a product, failure to follow care or installation instructions, unauthorised alteration, or use outside the product’s intended purpose, except to the extent the law provides otherwise.

Suspension and termination

We may suspend or terminate access to the website or an account where reasonably necessary because of material breach, fraud, misuse, security risk, or unlawful conduct. Clauses that by their nature should continue after termination will continue, including intellectual property, liability, and dispute provisions.

Severability and waiver

If any part of these Terms is found invalid or unenforceable, it will be read down or removed to the minimum extent necessary and the remaining Terms will continue. A delay or failure to enforce a right is not a waiver of that right.

Governing law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. You and we submit to the courts with jurisdiction in South Australia, while retaining any right to bring a claim in another forum that cannot lawfully be excluded.

Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Changes apply from publication and do not retrospectively alter an order already accepted unless required by law or agreed with you.
